Independent Professional Agreement

This Agreement governs your participation in the FieldFlow professional network. You must accept it before you can receive dispatch offers.

1. Independent contractor status

You are an independent contractor. You are not an employee, agent, partner or joint venturer of FieldFlow. You control when, where and whether you accept assignments, the manner and means of performing them, and you may work for other platforms and clients.

You are responsible for your own federal, state and local taxes. FieldFlow issues a Form 1099 where required and does not withhold taxes.

2. Credentials and compliance

You represent and warrant that you hold, and will maintain in good standing, every certification, license, notary commission, bond and training required by the state(s) in which you accept assignments — including OSHA bloodborne pathogen training and any required background check.

You must upload current credential documents and keep expiration dates accurate. Assignments requiring a credential are only offered to professionals whose credential is verified and unexpired. Practicing on an expired credential is grounds for immediate removal.

3. Insurance

You must maintain general liability and, where applicable, professional liability (errors and omissions) coverage, plus notary errors and omissions coverage for notarial acts, and provide proof on request.

4. Standard of care and patient privacy

You will follow all applicable clinical, chain-of-custody and notarial standards. You will treat customer information as confidential protected health information, access only records for assignments you have accepted, never photograph or retain records outside the platform, and report any suspected privacy incident within 24 hours.

5. Assignments and conduct

Accepting an offer is a commitment. Repeated late arrivals, cancellations after acceptance, no-shows, or falsified status updates or GPS data will reduce your ranking and may end your participation. Discrimination, harassment and any solicitation of off-platform work with a FieldFlow customer are prohibited.

6. Compensation and payouts

You are paid the assignment rate shown at the time you accept, less the platform commission disclosed in your console. Payouts are made through Stripe Connect to the account you onboard and verify. You are responsible for the accuracy of your payout details.

7. Term, suspension and termination

Either party may end this Agreement at any time. FieldFlow may immediately suspend your access for an expired or revoked credential, a safety or privacy incident, suspected fraud, or a credible customer safety complaint. Sections on confidentiality, indemnity and limitation of liability survive termination.

8. Indemnity

You agree to indemnify and hold FieldFlow harmless from claims arising out of your acts or omissions, your misrepresentation of credentials, or your breach of this Agreement.
